IMPORTANT NOTICE: THIS AGREEMENT CONTAINS A BINDING ARBITRATION CLAUSE AND A CLASS ACTION WAIVER. IT AFFECTS YOUR LEGAL RIGHTS. PLEASE READ IT CAREFULLY.

1. Acceptance of Terms

This Terms of Service agreement ("Agreement") is a legal contract between you ("User," "you") and Usethebrains Technologies ("Company," "we," "us," "our"). It governs your access to and use of our games, websites, applications, and all related services (collectively, the "Services").

By creating an account, accessing, or using our Services, you confirm that you have read, understood, and agree to be bound by all terms of this Agreement. If you do not agree, you may not use the Services.

We reserve the right to modify this Agreement at any time. We will notify you of material changes via email, in-service notices, or on our website. Your continued use after changes are posted constitutes your acceptance of the revised terms.

2. Eligibility and Account Security

You must meet the following criteria to use our Services:

Be at least 18 years old or the age of majority in your jurisdiction.

Be a legal resident of and physically located in the United States or Canada, excluding residents of Washington, Idaho, Quebec, and Ontario.

Maintain only one account.

Provide accurate and verifiable registration information.

You are solely responsible for all activities that occur under your account and for maintaining the confidentiality of your login credentials. You must promptly notify us of any unauthorized use.

Accounts inactive for 60 consecutive days may be terminated. Upon termination, you will lose all virtual currency, content, and entitlements associated with your account.

3. Intellectual Property and Licenses

The Services, including all software, graphics, and content, are the property of Usethebrains Technologies and our licensors and are protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal, non-commercial entertainment, subject to your compliance with this Agreement.

You agree not to:

Copy, modify, or create derivative works of the Services.

Reverse engineer, decompile, or disassemble any part of the Services.

Use cheats, automation software, bots, or any unauthorized third-party software.

Sell, trade, or transfer your account, virtual currency, or other virtual assets.

4. User Content and Conduct

You are responsible for any content you post or transmit through the Services ("User Content"). By submitting User Content, you grant us a worldwide, royalty-free, perpetual license to use, modify, and display such content in connection with our Services.

You agree not to submit User Content that is:

Illegal, defamatory, harassing, or threatening.

Infringing of any third-party intellectual property rights.

Containing viruses or malicious code.

Comprising unsolicited commercial messages ("spam").

5. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS SHALL NOT EXCEED THE GREATER OF (I) THE AMOUNT YOU HAVE PAID TO US IN THE PAST SIX MONTHS, OR (II) ONE HUNDRED U.S. DOLLARS ($100).

6. Indemnification

You agree to indemnify and hold harmless Usethebrains Technologies, its affiliates, and their respective officers and employees from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of this Agreement, or your violation of any rights of a third party.

7. Dispute Resolution; Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF.

Governing Law:

This Agreement is governed by the laws of the State of Delaware, excluding its conflict of laws rules.

Informal Resolution:

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at [email protected].

Arbitration Agreement:

If the dispute is not resolved informally, you and we agree to resolve any dispute through binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration will be held in Wilmington, Delaware.

Class Action Waiver:

YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and we agree otherwise, the arbitrator may not consolidate more than one person's claims.

8. Miscellaneous

Entire Agreement:

This Agreement, along with our Privacy Policy and any other referenced documents, constitutes the entire agreement between you and us.

Severability:

If any part of this Agreement is held invalid or unenforceable, the rest will remain in full force and effect.

Assignment:

We may assign our rights and obligations under this Agreement at any time. You may not assign your rights without our prior written consent.
